1. Acceptance of terms

By accessing or using deyirviel.com (the “Site”), you agree to these Terms of Use. If you do not agree with any part of these terms, please do not use the Site. If you use the Site on behalf of an organization, you confirm that you have authority to bind that organization to these terms.

You must be at least 18 years old (or the age of majority where you live) to use the Site or subscribe to the newsletter. The Site is not directed at children.

2. Educational purposes only — no financial, investment, or legal advice

All content on the Site — including the discounted cash flow (DCF), leveraged buyout (LBO), merger, valuation, and quantitative case studies, the downloadable models and reports, the BVC disclosure feed, and all blog posts — is published for educational and portfolio-demonstration purposes only. It is not financial, investment, legal, accounting, or tax advice, and it is not a recommendation, solicitation, or offer to buy or sell any security or to enter into any transaction.

The case studies are reconstructions of public deals and projects built by the site owner to demonstrate financial-modeling, valuation, and data-analysis skills. Figures and assumptions in them are illustrative and may differ from the actual terms, filings, or outcomes of the transactions they describe. Statements about companies, transactions, or markets are the site owner’s opinions and analytical judgments, based on publicly available information, and are not assertions of fact about any person or company. The site owner does not intend to suggest, and you should not infer, that any company or person has engaged in any wrongdoing.

The site owner is not a licensed investment adviser, broker-dealer, or financial intermediary, and is not registered with the AMMC (Autorité Marocaine du Marché des Capitaux) or any other regulator to provide investment advice or to solicit investment. Nothing on the Site constitutes regulated investment advice or a solicitation to invest.

3. No reliance on site content for investment decisions

Nothing on the Site should be relied upon when making an investment or other financial decision. You alone are responsible for your own decisions, and you should obtain advice from a qualified, licensed professional before acting on anything derived from the Site. Market data, prices, and figures may be delayed, incomplete, or inaccurate. Past performance and modeled scenarios do not guarantee future results. Any valuation, projection, or model output is a hypothetical estimate based on assumptions that may prove wrong.

4. Automated BVC feed and third-party data

The BVC disclosure feed and its email digest are generated automatically from filings published by the AMMC and other third parties. Summaries are produced by automated extraction and are not verified by a human. Figures, dates, and labels may contain errors, omissions, or extraction mistakes. The official source document — not this Site — is authoritative. Before relying on any disclosure, figure, or summary, you must confirm it against the original filing linked on the page.

The Site is not affiliated with, endorsed by, or sponsored by the AMMC, the Casablanca Stock Exchange, or any company mentioned. Company names, tickers, and logos are the property of their respective owners and are used for identification and editorial commentary only.

5. Limitation of liability

The Site and its content are provided “as is” and “as available,” without warranty of any kind, express or implied, including without limitation implied warranties of accuracy, completeness, reliability, merchantability, fitness for a particular purpose, or non-infringement. The site owner does not warrant that the Site will be uninterrupted, secure, or free of errors, viruses, or other harmful components.

To the fullest extent permitted by applicable law, the site owner shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, savings, data, or goodwill, arising out of or in connection with your use of, or inability to use, or reliance on, the Site or any of its content, even if the site owner has been advised of the possibility of such damages. In particular, the site owner shall not be liable for any investment decision made, or action taken or omitted, based on the Site’s content.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that applicable law does not allow to be excluded.

6. Indemnification

You agree to indemnify, defend, and hold harmless the site owner from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your use of the Site or its content in violation of these terms or applicable law; (b) your reliance on the Site to make any financial or investment decision; or (c) your infringement of the rights of any third party. This obligation does not cover claims caused solely by the site owner’s own fraud or willful misconduct.

7. Intellectual property, third-party material, and takedown

Unless otherwise credited, all content on the Site — including text, models, charts, graphics, and original images — is owned by the site owner and protected by applicable copyright and database law. Where third-party material appears (for example, logos, historical photographs, trademarks, or filing extracts), it is used for editorial, educational, or fair-commentary purposes and remains the property of its respective owners.

Republication of Site content, in whole or in part, on any other website or publication, and any commercial use, requires prior written permission from the site owner. The downloadable models and reports are provided for personal study and may not be redistributed or resold.

The site owner will review and, where appropriate, remove or amend the material without undue delay.

The Site contains links to third-party websites and documents (for example, AMMC filings, LinkedIn, GitHub, and publisher pages) and loads certain third-party software (see the Privacy Policy). Those sites and services are not under the site owner’s control. The site owner is not responsible for their content, accuracy, availability, security, or privacy practices, and a link does not imply endorsement. Your use of any third-party site or service is governed by that party’s own terms.

9. Newsletter and email communications

If you subscribe, you consent to receive the BVC disclosure digest and related updates by email. Subscription uses double opt-in: you must confirm your address before any mailings begin. Every email includes a one-click unsubscribe. The digest is automated, is not investment advice, and is subject to sections 2 to 4 above. The site owner may suspend or discontinue the newsletter at any time. The newsletter is delivered through a third-party provider, as described in the Privacy Policy.

10. Availability, changes, and termination

The Site is provided free of charge and on an “as available” basis. The site owner may add, change, suspend, or remove any part of the Site or its content (including downloads and the newsletter) at any time, without notice, and does not undertake to keep any content current. The site owner may block or restrict access where reasonably necessary for security, legal, or operational reasons.

Use of the Site is also governed by the Privacy Policy, which explains what personal data is collected and how it is handled.

12. Governing law and jurisdiction

These terms and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes) are governed by the laws of the Kingdom of Morocco, without regard to conflict-of-law rules. Subject to any mandatory consumer-protection rights that may apply in your country of residence, the courts of Casablanca, Morocco, shall have exclusive jurisdiction. Nothing in these terms prevents a consumer from bringing proceedings in the courts of their place of residence where mandatory law gives them that right.

13. General provisions

  • Severability. If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be replaced by a valid one that best reflects its original purpose.
  • No waiver. A failure or delay by the site owner to enforce any provision is not a waiver of that or any other provision.
  • Entire agreement. These terms, together with the Privacy Policy, are the entire agreement between you and the site owner regarding the Site and supersede any prior understanding on that subject.
  • Assignment. The site owner may assign or transfer their rights and obligations under these terms. You may not assign yours without prior written consent.
  • No third-party rights. These terms do not create rights for anyone other than you and the site owner.
  • Language. These terms are published in English; any translation is provided for convenience, and the English version prevails.
  • Headings. Section headings are for convenience only and do not affect interpretation.
